Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Klippme, operated by Yufy Assists Pvt Ltd ("Klippme", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with its registered office in India.

By creating an account, starting a free trial, subscribing to a plan, or otherwise using Klippme, you agree to be bound by these Terms. If you do not agree, do not use the service.

These Terms apply to providers— coaches, yoga instructors, tutors, therapists, clinics, spas, and other service professionals who use Klippme to accept bookings and payments from their customers. If you are a customer booking a session through a provider's booking page, your primary agreement is with the provider. Klippme is not a party to that transaction.

2. Account Registration and Eligibility

To use Klippme as a provider, you must:

  • Be at least 18 years old
  • Be a legally capable individual or a registered business entity in your jurisdiction
  • Provide accurate, complete, and current information during registration
  • Maintain the accuracy of your account information and update it when it changes
  • Keep your account credentials confidential and not share them with others

You are responsible for all activity that occurs under your account. Notify us immediately at hello@klippme.com if you suspect unauthorised access to your account.

3. Subscription Plans and Billing

3.1 Available plans

Klippme offers the following subscription plans (prices in INR, exclusive of GST):

  • Pro (monthly) — ₹699/month + 18% GST = ₹825/month total
  • Pro (annual) — ₹7,188/year + 18% GST = ₹8,482/year total (equivalent to ₹599/month, saving ₹1,200 vs monthly)

GST at 18% is applicable as required by Indian tax law. We will issue GST-compliant invoices for all subscription payments. Annual plan fees are billed in full at the start of the subscription year and are non-refundable except as provided in Section 6.

3.2 Billing and automatic renewal

Subscriptions are billed monthly on the calendar date you first subscribed (your billing date). Subscriptions renew automatically at the start of each billing period unless you cancel before the renewal date.

By subscribing, you authorise Klippme and Razorpay to charge your saved payment method on each renewal date. If a payment fails, we will attempt to retry the charge and notify you by email. If payment is not collected within 7 days of the renewal date, your account may be suspended until payment is received.

3.3 Plan changes

You may upgrade or downgrade your plan at any time from your dashboard. Upgrades take effect immediately and you will be charged a prorated amount for the remainder of the current billing period. Downgrades take effect at the start of the next billing period. We do not issue partial refunds for mid-period downgrades.

3.4 Price changes

We may change subscription pricing with at least 30 days' notice via email to your registered address. Continued use of Klippme after the new pricing takes effect constitutes acceptance of the new price.

4. Free Trial

New provider accounts receive a 14-day free trial with full access to all Klippme Pro features, including WhatsApp notifications, Google Meet and Zoom integration, and advanced analytics. No credit card is required to start a trial.

At the end of the 14-day trial, you must subscribe to a paid plan to continue accepting new bookings. Your account data — sessions, customers, and booking history — remains intact if you subscribe after the trial ends.

One free trial per person or business entity. Creating multiple accounts to circumvent trial limitations is prohibited and will result in termination of all associated accounts.

5. Payment Terms

All subscription payments are processed by Razorpay Software Private Limited. Klippme does not store your card or bank account details. By subscribing, you also agree to Razorpay's terms of service and privacy policy.

Accepted payment methods include UPI, credit cards, debit cards, net banking, and other methods supported by Razorpay at the time of payment.

Klippme does not charge transaction fees or commissions on bookings made through your Klippme booking page. Your monthly subscription is the only fee we collect from you.

Provider-to-customer payments (session fees collected from your customers via UPI or QR code) go directly to you. Klippme does not handle, hold, or process these funds.

6. Refund Policy

6.1 Subscription fees

Subscription fees are non-refundable. If you cancel your subscription, you retain full access to Klippme until the end of your current billing period. We do not issue partial refunds for unused time in a monthly or annual billing period.

If you believe you have been charged in error, contact us at hello@klippme.com within 7 days of the charge and we will investigate promptly.

6.2 Customer online payments (Pro plan)

Pro plan providers can enable online payments so customers pay for sessions via Razorpay at the time of booking. For eligible cancellations (within the provider-configured cancellation window), Klippme automatically initiates a full refund to the customer's original payment method via Razorpay. Refunds typically appear within 5–7 business days depending on the customer's bank or card network.

Providers may also issue manual refunds from their dashboard for individual bookings. Razorpay's standard refund processing timeline and policies apply. Klippme is not responsible for delays caused by the customer's bank or card issuer.

Disputes between you and your customers regarding session quality, partial refunds, or service delivery are entirely between you and your customer. Klippme facilitates payments but is not a party to provider-customer transactions and does not mediate payment disputes beyond processing the technical refund.

7. Acceptable Use

You agree not to use Klippme to:

  • Engage in any unlawful activity or advertise or facilitate illegal services
  • Send unsolicited marketing communications (spam) to customers booked through our platform
  • Impersonate another person, business, or professional credential you do not hold
  • Attempt to access, probe, tamper with, or disrupt our systems, servers, or infrastructure
  • Scrape, reverse-engineer, decompile, or copy any part of the Klippme platform or codebase
  • Use Klippme to offer services that are illegal under applicable Indian law
  • Create multiple accounts to circumvent trial limitations or a suspension
  • Upload content that is defamatory, obscene, or infringes third-party intellectual property rights

Violation of this section may result in immediate account suspension or termination without refund and, where warranted, referral to law enforcement.

8. Service Availability

We aim to maintain high availability of Klippme but do not guarantee 100% uptime. The service is hosted on Vercel and backed by Supabase (AWS ap-south-1, Mumbai). Scheduled maintenance will be communicated in advance where practicable.

We are not liable for outages or degraded performance caused by third-party providers (Razorpay, Supabase, Vercel, Google, Meta, Resend) or by circumstances beyond our reasonable control, including internet infrastructure failures or force majeure events.

9. Intellectual Property

9.1 Klippme's intellectual property

Klippme, its logo, software, design, user interface, and all related content and technology are the intellectual property of Yufy Assists Pvt Ltd. You may not copy, modify, distribute, sublicense, or create derivative works based on our platform without our express written permission.

9.2 Your content

You retain ownership of all content you upload to Klippme — including your profile information, session descriptions, pricing, and branding assets. By uploading content, you grant Klippme a non-exclusive, royalty-free licence to display and use that content solely for the purpose of operating the service on your behalf (e.g., displaying your sessions on your public booking page).

You represent and warrant that your content does not infringe any third party's intellectual property rights and does not violate any applicable law.

10. Provider Responsibilities

As a Klippme provider, you are solely responsible for:

  • Delivering the sessions and services you list to your customers as described
  • Setting accurate pricing, availability, and session descriptions
  • Handling all disputes, refund requests, and complaints from your customers
  • Complying with all applicable Indian laws, including consumer protection legislation, GST filing obligations, and any professional licensing or certification requirements for your field
  • Obtaining appropriate consent from your customers for us to process their personal data on your behalf as described in our Privacy Policy
  • Keeping your UPI ID, QR code, and payment details accurate and up to date

Klippme is a technology platform that enables you to accept bookings. We are not responsible for the quality, safety, legality, or delivery of any services offered by providers using our platform.

11. Termination

11.1 Cancellation by you

You may cancel your subscription at any time from Dashboard → Settings. Cancellation stops future charges but does not entitle you to a refund for the current billing period. You retain access until the end of the paid period.

To permanently delete your account and all associated data, contact hello@klippme.com. Account deletion is processed within 30 days.

11.2 Termination by Klippme

We may suspend or terminate your account with 7 days' notice if you violate these Terms, fail to pay subscription fees after the grace period, or if we determine that continued access poses a risk to the platform or other users. In cases of serious violations (fraud, illegal activity, security threats), we may terminate your account immediately without notice.

Upon termination, you may request an export of your booking data within 30 days of termination. After 30 days, your personal data will be deleted, subject to legal retention obligations (e.g., GST records retained for 7 years).

12. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Klippme, Yufy Assists Pvt Ltd, and its directors, employees, and affiliates will not be liable for:

  • Indirect, incidental, special, or consequential damages of any kind
  • Loss of revenue, profits, goodwill, or data arising from your use of or inability to use the service
  • Any disputes, losses, or damages arising from transactions between you and your customers
  • Failures, outages, or errors caused by third-party services (Razorpay, Google, Supabase, Meta, Resend, Vercel)

Our total aggregate liability to you for any claim arising out of or relating to these Terms or your use of Klippme will not exceed the total amount you paid us in the three (3) calendar months immediately preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Yufy Assists Pvt Ltd, Klippme, and its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of:

  • Your use of Klippme in violation of these Terms
  • Content you upload to or display through Klippme
  • Services you offer or fail to deliver to your customers
  • Any dispute between you and a customer
  • Your violation of any applicable law or regulation

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or your use of Klippme will be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes in good faith by notifying the other party in writing and allowing 30 days for informal resolution. Reach us at hello@klippme.com.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email to your registered address and via a notice in your Klippme dashboard at least 14 days before the change takes effect. Your continued use of Klippme after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect. The "Last updated" date at the top of this page reflects when these Terms were last revised.
